TukiDocs AI Terms and Conditions

These Terms and Conditions (hereinafter, the "Terms") govern the use of services provided by TukiDocs AI, a division of BRAINBOOM, with NRT: F-379301-G, tax domicile at Urb. Super Pal, Diagonal 15, Pal, La Massana, Principality of Andorra (hereinafter, "TukiDocs AI", "we" or "our"), and you, the customer (hereinafter, "Customer" or "you"). By accessing or using our services, you accept these Terms in their entirety. If you do not agree, you should not use the services.

The effective date of these Terms (the "Effective Date") will be the date on which the Customer registers for online services or signs an order form that references these Terms.

1. Description of Services

TukiDocs AI offers an AI-powered document processing platform designed for businesses that prioritize data security and sovereignty. Services include, among others:

Document data extraction and analysis.
Document information structuring.
Dedicated infrastructure.
Technical support.

The Customer is responsible for providing accurate and complete information for the use of services.

2. Acceptance of Terms

By clicking a box indicating acceptance, signing an order form, or using the services, the Customer accepts these Terms. If the individual accepting does so on behalf of a company or other legal entity, they declare to have the authority to bind said entity. If you do not have such authority or do not accept these Terms, you should not use the services.

3. Use of Services

3.1 Right of Access

Subject to payment of applicable fees and compliance with these Terms, TukiDocs AI grants the Customer a non-exclusive, non-transferable, and non-sublicensable right to use the services during the subscription period.

3.2 Restrictions

The Customer may not:

Sublicense, sell, or transfer the services.
Attempt to access the source code or perform reverse engineering.
Use the services for illegal purposes or those that infringe third-party rights.

3.3 Customer Responsibility

The Customer is responsible for:

Maintaining the security of their access credentials.
All actions performed under their account.

4. Intellectual Property

All intellectual property rights over the platform, software, documentation, and any material provided by TukiDocs AI are the exclusive property of TukiDocs AI or its licensors. The Customer does not acquire any ownership rights, except for the limited right of use in accordance with these Terms.

The Customer retains ownership of data uploaded to the platform ("Customer Data") and grants TukiDocs AI a limited license to process it solely for the purpose of providing the services.

5. Confidentiality

Both parties commit to protecting confidential information received during the provision of services and not disclosing it to third parties, except as required by law. This obligation persists after termination of the agreement.

6. Limitation of Liability

6.1 Exclusions

TukiDocs AI will not be liable for:

Indirect, consequential, special, or incidental damages, including data loss, business interruption, or lost profits.
Service failures or interruptions caused by factors outside its reasonable control (such as internet failures or force majeure events).

6.2 Damage Limit

TukiDocs AI' total liability for any claim will not exceed the amount paid by the Customer in the 12 months prior to the event giving rise to the claim.

6.3 "As Is" Services

Services are provided "as is", without implied warranties of merchantability or fitness for a particular purpose.

7. Indemnification

The Customer will indemnify and hold TukiDocs AI harmless from any claim, demand, or legal action arising from:

Misuse of the services.
Violation of these Terms.
Infringement of third-party rights by the Customer.

8. Termination

8.1 For Breach

TukiDocs AI may suspend or terminate services immediately if the Customer breaches these Terms, without incurring any liability.

8.2 Effect of Termination

Upon termination:

The Customer will lose access to services and must cease their use.
TukiDocs AI may delete Customer Data after a 30-day period, unless required otherwise by law.
Confidentiality, limitation of liability, and indemnification obligations will survive.

9. Fees and Payments

9.1 Subscription

Fees are detailed in the order form or online platform. Subscriptions are non-cancellable and fees are non-refundable, unless otherwise indicated.

9.2 Payment

The Customer will pay fees as agreed. Failure to pay may result in suspension or termination of services.

9.3 Taxes

Prices do not include taxes, which will be the Customer's responsibility.

10. Data Protection

TukiDocs AI complies with Law 15/2003, of December 18, Qualified Personal Data Protection of the Principality of Andorra and Regulation (EU) 2016/679 (GDPR). Customer personal data will be processed in accordance with our Privacy Policy and only for the purposes of providing services. The Customer may exercise their rights of access, rectification, cancellation, and opposition by sending an email to info@tukidocs.com.

11. Force Majeure

Neither party will be responsible for delays or breaches caused by events outside their reasonable control, such as natural disasters, infrastructure failures, or governmental acts.

12. Modifications

TukiDocs AI reserves the right to modify these Terms at any time. Modifications will be notified to the Customer and will take effect with continued use of services.

13. Applicable Law and Jurisdiction

These Terms are governed by the laws of the Principality of Andorra. Any dispute will be resolved exclusively by the courts of Andorra.

14. General Provisions

Entire Agreement: These Terms constitute the entire agreement between the parties and supersede any prior agreement.
Notices: Notices must be sent in writing to the indicated addresses.
Assignment: The Customer may not assign this agreement without TukiDocs AI' prior consent.
Independence: The parties are independent contractors.

Final Note: By using our Services, you acknowledge that you have read and understood these Terms and Conditions and agree to be bound by them.
